1.Agreement to Terms
X-Raypad ("X-Raypad", "we", "us" and "our") provides the websites x-raypad.com and shop.x-raypad.com (the "Website") to give you information about us and our products and to allow you the opportunity to order products directly from the Website. Your use of this Website and all product orders are subject to the following terms and conditions (the "Terms"). If you do not agree to these Terms, then please do not use the Website or order products.
X-Raypad may amend these Terms at any time by posting a revised version on the Website and updating the revision date above. Any such modifications become effective upon the date they are first posted. By continuing to access the Website after the revised Terms become effective, you agree to be bound by the revised Terms. The version in effect at the time of your order applies to that order.
2.Orders, Pricing & Payment
You understand and agree to the following when placing any order on or through the Website:
- All prices are listed in US Dollars (USD) unless otherwise stated, and are subject to change without notice.
- We reserve the right to discontinue the manufacture of any product or service at any time and without notice, and to modify any product or service without consideration of compatibility with previously manufactured products.
- When you submit your order, you authorize X-Raypad to charge your payment through our payment providers (such as PayPal or Stripe).
- All orders placed through the Website are subject to our acceptance. An order is confirmed only after payment has been successfully received.
- Please review your uploaded images, sizing, and specifications carefully before submitting your order. Once production of a Custom Product has begun, the order can no longer be modified or cancelled.
3.Production & Custom Pad Proofs
We start making your custom pad(s) as soon as we receive the order and payment. For custom printing items, you will receive a free digital proof before printing begins:
- The time it takes us to provide a proof will vary depending on our workload.
- It is your responsibility to review your proof and approve it. Production will proceed based on the approved proof.
- Due to variations between monitors and screens, we cannot guarantee an exact color match. Color discrepancy is not a valid return reason.
We are closed on Saturdays, Sundays, and during our internally determined holiday schedule. These days are not counted when calculating production time. Production time does not include shipping transit time.
4.Customer-Uploaded Content & IP Warranty
4.1 Your Content
"Your Content" means any images, artwork, designs, graphics, text, logos, pictures, videos, or other materials that you upload, submit, or otherwise make available to X-Raypad for the purpose of creating a Custom Product.
4.2 License Granted to Us
By uploading Your Content, you grant X-Raypad a limited, non-exclusive, royalty-free license to reproduce, modify (for production purposes only, such as sizing and cropping), and print Your Content solely for the purpose of fulfilling your order. We will only use this license to produce the order you sent us, and we will not reproduce your order, or use Your Content for marketing or any other purpose, without your consent.
4.3 Your Representations and Warranties
By uploading Your Content and placing an order, you represent and warrant that:
- you own all rights to Your Content, or have obtained valid authorization from the rights holder, such that you have the full right to grant the license described above;
- Your Content does not infringe or violate any copyright, trademark, trade dress, right of publicity, right of privacy, or any other intellectual property or proprietary right of any third party;
- the Custom Product is ordered for your personal, non-commercial use only, and will not be resold, distributed, or used for any commercial purpose.
4.4 Prohibited Content
You agree not to upload any files consisting of:
- material that could give rise to any civil or criminal liability;
- material that infringes rights of privacy, publicity, copyrights, or other intellectual property rights without the permission of the owner of these rights;
- content that defames or vilifies any person, people, race, religion, or religious group, or that is obscene, pornographic, indecent, harassing, threatening, harmful, depicts graphic violence (real or otherwise), invades privacy or publicity rights, or is abusive, inflammatory, or otherwise objectionable.
4.5 Responsibility for Your Content
You are solely responsible for Your Content. X-Raypad acts as a printing and manufacturing service provider and does not review, verify, or endorse the legality of customer-uploaded materials. We take no responsibility and assume no liability for Your Content, including any loss or damage to it — please keep your own copy. You accept full legal responsibility for any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from Your Content, and you agree to indemnify and hold harmless X-Raypad, its owners, employees, and partners from any such claims, as further set out in Section 10.
4.6 Right to Refuse Service
We reserve the right, at our sole discretion, to refuse or cancel any order containing content that we reasonably believe may infringe third-party rights or violate these Terms. In such cases, a full refund will be issued.
☐ I confirm that I own the rights to the uploaded image(s) or have obtained authorization from the rights holder. The customized product is for my personal, non-commercial use only. I accept full legal responsibility for the content I upload and agree to the Custom Content & IP Warranty terms.
5.Intellectual Property Complaints
X-Raypad respects the intellectual property rights of others. If you believe that your copyrighted work has been copied or posted on or through the Website in a way that constitutes copyright infringement, or that the unauthorized use of your trademark has appeared on or through the Website, please contact us at ip-complaints@x-raypad.com and provide the following information:
- a description of the copyrighted work or trademark that you believe has been infringed;
- a description of what the allegedly infringing material is, and where it is located on the Website;
- your name, address, telephone number, and email address;
- a statement that you have a good-faith belief that the disputed use is not authorized by the rights holder, its agent, or the law;
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf, accompanied by your physical or electronic signature.
We review all valid complaints promptly and may remove the content, cancel related orders, and cooperate with rights holders as required by law.
6.Shipping, Delivery & Customs
All shipments are shipped Ex Works from X-Raypad's place of business in China. Title to the products and risk of loss pass to you upon delivery to the carrier at the shipping point, regardless of any provisions for payment of freight or insurance and the form of shipping documents. Insurance will not be placed on any order unless specifically requested by you.
Delivery estimates are provided in good faith but are not guaranteed. For shipments via airmail, we cannot control transit time — delivery may be delayed, fast, or on schedule. Delivery delay is not a valid return or refund reason.
Customs duty. We ship all orders from China, and your order may be subject to import customs duty or taxes levied by your local customs authority. Any such duties or taxes are the responsibility of the recipient, except where such charges have already been collected from you at checkout (for destinations where we offer pre-paid duties); in that case, no additional import charges should be due upon delivery. Where duties apply, the buyer needs to pay them in full; we provide supporting documents for customs clearance where possible. If you refuse to pay customs duty, all consequences are borne by you.
7.Returns & Refunds
7.1 Standard (non-custom) products purchased from shop.x-raypad.com
- You have 30 days to return your product from the date it was received.
- The product must be returned in its original condition and packaging (not affecting resale).
- All promotional and bundled products that are part of the order need to be returned.
- Returns that do not meet the eligibility conditions may result in refund delays or the product(s) being shipped back to you.
7.2 Custom Products
Because Custom Products are manufactured individually to your specifications, they are not eligible for return or exchange except in the case of a manufacturing defect, a printing error attributable to us, or damage in transit. In such cases, please contact us within 14 days of delivery with photographs of the issue, and we will arrange a replacement or refund.
Color discrepancy (see Section 3) and delivery delay (see Section 6) are not valid return or refund reasons.
8.Cancellations
Before shipping. If you want to cancel your order, please notify us as soon as possible. If cancelled before your order ships, we will issue a refund with the exception of transaction fees charged by third parties such as PayPal, Stripe, your credit card company, or your bank; for those fees, please refer to their policies. Our cut-off time for shipping is usually 6:00 PM each day (China time).
After shipping. If your order has already been dispatched, we can attempt to have the package returned to us by the shipping company. You may incur an additional return-to-sender fee if issued by the courier or postal service; this fee is usually much higher than the original postage charge and varies by carrier, and you will be responsible for all such costs. Due to courier operations and quick delivery turnarounds, recall may not be possible once dispatched — in that case, you may return your order using the returns process described in Section 7, and you will be responsible for all costs.
Note that Custom Products already in production cannot be cancelled (see Section 2).
9.Account & Usage Requirements
- You may place orders as a guest or by creating an account — an account is not required to check out.
- You must be of legal age to use our site, which is 18 years of age in most places.
- You must provide a valid email address and any other information requested by us to complete your order.
- If you create an account, you are responsible for maintaining the security of your password and for all content posted and activity that occurs under your account. If you suspect unauthorized use of your account, please contact us promptly and we will help secure it.
10.Indemnification
You agree to indemnify, defend, and hold harmless X-Raypad, its officers, directors, employees, and agents, from and against any and all claims and expenses, including reasonable attorneys' fees, arising out of or related in any way to: your use of the Website; your violation of these Terms or any related license agreement; your violation of any law or regulation (including but not limited to copyright, trademark, and trade secret laws and regulations); or your violation of any proprietary or privacy right (including but not limited to libel and publicity rights) — whether by you or by persons under your control, direction, or authority.
11.Limitation of Liability
In no event will X-Raypad be liable to you or any other party for procurement costs, loss of profits, loss of use, or for any other incidental, consequential, indirect, or special damages, or for contribution or indemnity claims, however caused. X-Raypad's liability shall be limited to actual direct damages not in excess of the amounts paid to X-Raypad by you for the products. These limitations apply to all claims, including without limitation warranty, contract, indemnity, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation and exclusion may not apply to you.
12.Disputes & Governing Law
These Terms shall be governed by the laws of Hong Kong, without giving effect to its conflict-of-laws provisions, regardless of whether you reside or transact business with X-Raypad in Hong Kong or elsewhere. Any dispute, claim, or controversy between the parties relating to payment or performance of these Terms (excluding indemnity and intellectual property infringement claims, which shall be subject to resolution in the courts) shall be resolved exclusively by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect, by one (1) arbitrator appointed in accordance with such rules. Judgment on the award rendered by the arbitrator may be entered into any court of competent jurisdiction.
For any claim excluded from arbitration or otherwise subject to the jurisdiction of the courts, you agree to submit to the personal and exclusive jurisdiction of the courts located within Hong Kong. The prevailing party in arbitration or litigation will be entitled to recover all reasonable attorneys' fees and other expenses (in addition to statutory costs of litigation), including attorneys' fees and expenses in connection with any trial, appeal, or petition for review. The United Nations Convention on the International Sale of Goods will not apply to any transactions under these Terms.
13.General
The parties will at all times be and act as independent contractors. Nothing in these Terms will be deemed to create a relationship of partners, employer and employee, or principal and agent. No modification to these Terms shall be binding unless in writing and signed by an authorized representative of each party. You may not assign or transfer your account or your order to anyone else without the prior written consent of X-Raypad, which consent will not be unreasonably withheld. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired. The failure of either party at any time to require performance by the other of any provision shall in no way affect that party's right to enforce such provision, nor shall any waiver of any breach be taken as a waiver of any further breach of the same or any other provision. All waivers must be in writing. X-Raypad shall be excused from liability for non-performance or delay due to any cause beyond its reasonable control. This is the entire agreement between the parties with respect to all online product orders; provided, however, that if the parties have signed a separate written agreement, those terms shall prevail over these Terms to the extent of any conflict.
